Updates April 2023

Restrictions on shares
On EMI options granted on or after 6 April 2023, employer companies are no longer required to detail within the share option agreement the details of any restrictions on the shares that can be acquired.
Working time declaration
On EMI options granted on or after 6 April 2023, employer companies are no longer required to declare that an employee has signed a working time declaration, retain the signed working declaration and provide the employee with a copy. This does not remove the working time requirement itself, only the requirement for the employee to sign a working time declaration.
EMI notification deadline
On EMI options granted on or after 6 April 2024, the previously very strict deadline to notify EMI options to HMRC within 92 days of grant will be replaced by 6 July following the end of the relevant tax year.
Capital gains tax: annual exempt amount
From the tax year 2023 to 2024 the annual exempt amount will be £6,000 for individuals. For the tax year 2024 to 2025 and subsequent tax years the annual exempt amount will be permanently fixed at £3,000 for individuals.
